Terms of Service

These terms are a binding agreement between you and TeelyShop Labs LLC. They cover teelylabs.com and every product we operate. Please read them carefully. By using the Services you agree to these terms. If you do not agree, do not use the Services.

1. About these terms

"Teely Labs", "we" and "us" mean TeelyShop Labs LLC, a Montana limited liability company. "Services" means teelylabs.com and the products we operate, including ChessZing, Post2Delete, Upscale4 and Supercrontab. A product may have additional terms, such as usage limits, an API policy or a refund policy. Those additional terms form part of this agreement, and if they conflict with these terms, the product terms apply to that product. Our Privacy Policy explains how we handle personal information.

2. Eligibility

You must be at least 13 years old (or 16 in the EEA and UK) to use the Services, and old enough to form a binding contract where you live to buy a paid plan. If you use the Services on behalf of a company or other organization, you confirm that you are authorized to accept these terms for it, and "you" includes that organization.

3. Your account

Keep your sign-in details secure and accurate. You are responsible for activity under your account. Tell us promptly at support@teelylabs.com if you suspect unauthorized access. We may refuse a username or require you to change it if it impersonates someone or infringes their rights.

4. Acceptable use

You agree not to:

• break any law, or infringe anyone's intellectual property, privacy or other rights;
• upload or process content that is illegal, harmful, or that you do not have the right to use;
• use a product to attack, overload or scan systems you do not own or have permission to test, including scheduling requests to third-party URLs without authorization;
• access a third-party account that is not yours, or use our tools to violate another platform's terms;
• try to bypass usage limits, payment, security or access controls, or reverse engineer the Services except where the law allows;
• resell or provide the Services to others in a way the product does not allow;
• send spam, malware, or use the Services to harass or harm anyone.

We may investigate suspected violations and take appropriate action, including removing content or suspending accounts.

5. Plans, billing and renewals

• Free plans. Some products offer free plans with limits. We may change free plan limits at any time.
• Paid plans. Prices and features are shown on each product's pricing page. Payments are processed by Stripe, and charges may appear as "TeelyShop Labs" or the product name on your statement.
• Automatic renewal. Subscriptions renew automatically at the end of each billing period (monthly or yearly) and your payment method is charged, until you cancel.
• Taxes. Prices may not include sales tax, VAT or similar taxes, which we will add where required.
• Price changes. We will give you at least 30 days' notice of a price increase for an existing subscription. The new price applies from your next renewal, and you may cancel before it takes effect.
• Failed payments. If a payment fails, we may retry it, and if it still fails, downgrade or suspend the paid features.

6. Cancellations and refunds

You can cancel at any time from your account settings or by emailing us. Cancellation stops future renewals, and you keep paid access until the end of the current billing period. Refunds follow the refund policy published by each product. Where no product policy applies, we will refund a first-time subscription charge if you ask within 14 days of purchase. Nothing in these terms limits refund rights you have under the consumer law of your country.

7. Your content

You keep ownership of everything you submit to the Services ("Your Content"). You give us a limited, worldwide license to host, process and transmit Your Content only as needed to provide the Services to you, and for no other purpose. You confirm that you have the rights needed to submit Your Content.

Irreversible actions. Some products perform actions you cannot undo, such as permanently deleting posts or messages from a third-party platform. You are responsible for reviewing what you select before you confirm. We cannot restore content that a third-party platform has deleted.

If you send us feedback or suggestions, we may use them without any obligation to you.

8. Third-party services

Some products work with third-party platforms and services, such as social networks, sign-in providers and payment processors. Your use of those services is governed by their own terms and policies, and we are not responsible for them. Third-party platforms may change or restrict their interfaces at any time, which can affect how a product works.

9. Our intellectual property

The Services, including software, design, text, logos and trademarks, are owned by TeelyShop Labs LLC or its licensors and are protected by law. We grant you a personal, non-exclusive, non-transferable right to use the Services in line with these terms. Open-source components are licensed under their own licenses, which we credit where required.

10. Changes to the Services

We are always improving our products, so features may be added, changed or removed. If we discontinue a paid product, we will give you reasonable notice and a pro-rated refund for any prepaid period you cannot use.

11. Suspension and termination

You may stop using the Services and delete your account at any time. We may suspend or end your access if you materially break these terms, if your use creates risk or legal exposure for us or others, or if required by law. Where reasonable, we will tell you first and give you a chance to fix the issue. Sections that by their nature should survive termination (including 7, 9, and 12 to 17) will survive.

12. Disclaimers

The Services are provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not guarantee that the Services will be uninterrupted, error-free, or that results (such as engine analysis, image output or scheduled job timing) will meet every expectation.

13. Limitation of liability

To the fullest extent permitted by law, Teely Labs will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, arising from or related to the Services. Our total liability for any claim related to the Services is limited to the greater of (a) the amount you paid us for the Service in the 12 months before the claim arose, or (b) US $50. Some jurisdictions do not allow these limitations, so they may not fully apply to you.

14. Indemnification

If you use the Services for business purposes, you agree to defend and indemnify Teely Labs against third-party claims, losses and costs (including reasonable legal fees) arising from Your Content or your breach of these terms.

15. Governing law and disputes

These terms are governed by the laws of the State of Montana, USA, without regard to its conflict of law rules. Before filing a claim, please contact us so we can try to resolve the issue informally within 30 days. Any dispute that is not resolved will be brought exclusively in the state or federal courts located in Flathead County, Montana, and both parties consent to their jurisdiction. If you are a consumer in the EEA or UK, you also benefit from the mandatory protections of the law of your country and may bring claims in your local courts.

16. Changes to these terms

We may update these terms from time to time. We will update the effective date above, and for material changes we will notify account holders at least 14 days in advance by email or through the Services. If you continue to use the Services after the changes take effect, you accept the new terms.

17. General

These terms, together with any product terms and our Privacy Policy, are the entire agreement between you and us about the Services. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these terms without our consent. We may assign them in connection with a merger, acquisition or sale of assets. Neither party is liable for delays caused by events beyond its reasonable control.
